These Terms of Service ("Terms") apply to your access and use of all iBidd platforms, including iOS, Android, and/or iBidd browser, all mobile applications, and any other online access to products and services (collectively, the "iBidd Services" or "Services") provided by iBidd Inc. ("iBidd" or "we").

By using iBidd or accessing any of our platforms, you agree to be bound by these terms and all terms by reference. If you do not agree to these terms, you do not have permission to use iBidd.

You further agree that you have read these terms and conditions carefully, including the mandatory arbitration provisions, and agree that disputes will be resolved by final and binding arbitration on an individual basis and not on a class-wide or consolidated basis. If you do not wish to be subject to arbitration, you must opt out of the arbitration provision.

Changes to iBidd Terms of Service:

Intellectual Property:

You agree that all content published and made available on iBidd is the property of iBidd. This includes, but is not limited to, images, text, logos, documents, downloadable files, and anything that contributes to the composition of iBidd.

Acceptable Use:

As a user of iBidd, you agree to use iBidd legally and not for illegal purposes. You agree not to:

• Violate the rights of other users of iBidd.

• Hack into the account of another user of iBidd.

Legal Correspondence

Legal requests should be sent to iBidd at the address provided above. In the event that iBidd incurs costs as a result of such requests, you agree to reimburse iBidd for the expenses incurred in producing a response prior to iBidd's obligation to answer.

Account Eligibility:

To use our Services, you must be at least 18 years of age.

If you are using the iBidd Services on behalf of a legal entity, you represent and warrant that you are authorized by such entity to act on its behalf. If you use our iBidd Services on behalf of another person or entity, the person or entity agrees to be responsible to iBidd in the event of a violation of these Terms.

You must not be suspended or removed from the iBidd platform or be in violation of any other agreement to which you are a party by agreeing to these Terms.

iBidd does not knowingly allow individuals under the age of 18 to create accounts or access our Site or Services. If you are below the age of 18, you are not permitted to use iBidd. Parental control protections are available to limit access to material that may be harmful to minors.

iBidd Account Deactivation:

You can deactivate your iBidd account by following these steps on your mobile device:

1. LOGIN TO iBidd WITH YOUR MOBILE DEVICE.
2. GO TO ACCOUNT PAGE, LOWER RIGHT CORNER ICON ON MOBILE DEVICES.
3. GO TO SETTINGS PAGE, UPPER RIGHT CORNER ON MOBILE DEVICES.
4. FIND "About," select Deactivate account.
5. Confirm.

• Your account will be deactivated.

You can deactivate your iBidd account by following these steps on iBidd.com:

• LOGIN TO iBidd.com WITH YOUR WEB BROWSER.
• GO TO PROFILE UNDER USERNAME.
• SELECT "Unsubscribe."
• Your account will be deactivated.

Accounts and Security:

To enjoy the benefits of our Services, it may be necessary to create an iBidd account. During the registration process, it is essential to provide accurate account information and meet the age and eligibility requirements. Please note that iBidd retains the right to reclaim account usernames if there are legitimate trademark rights or username claims from businesses or individuals.

Certain Services offered by iBidd may incorporate additional terms, such as those of social media platforms or third-party payment processors. By using these specific Services, you agree to abide by these additional terms, which will become part of your agreement with iBidd.

iBidd reserves the right to modify these Terms periodically. Any changes will be notified by updating the date indicated at the top of these Terms. The updated Terms will come into effect immediately, and your continued use of iBidd Services following such notice indicates your acceptance of the revised terms. If you do not agree with the amended Terms, it is necessary to discontinue using iBidd Services.

Welcome to iBidd! Our platform offers you the opportunity to effortlessly list a diverse array of items, services, products, and advertisements. Through the use of pictures, videos, and descriptive details, you can effectively showcase your offerings to a wide audience.

To list your items, services, products, or Ads on iBidd, you will utilize our unique currency known as "Tokens." Tokens are the currency for all listings on our platform. Upon creating an account, you will be allocated a specific number of iBidd Tokens. Additionally, you have the option to acquire extra tokens by accessing your account page on our website or mobile applications. This page conveniently displays your token balance and provides insight into your token usage history.

Take advantage of our referral program to earn complimentary tokens. When someone registers using your designated referral code, you will receive a predetermined number of tokens as a token of appreciation.

In addition to standard listings, iBidd offers a range of options designed to enhance the visibility and reach of your offerings. By investing in additional tokens, you can avail yourself of features such as "Make Mine First," "Bump," "Highlight," "Linkbacks" or opt for promotion within selected services. These premium features elevate the prominence of your listings, resulting in heightened exposure within the platform.

iBidd may introduce supplementary packages and subscription options for the listing and promotion of new items, services, ads, or products across our evolving platforms. As these opportunities arise, we will furnish you with comprehensive details through iBidd's interface.

Our commitment is to furnish you with an array of choices that effectively present your offerings and amplify their visibility within the iBidd community.

iBidd Green:

At iBidd, we are proud to be a pro-green company committed to promoting environmentally friendly practices. As part of our dedication to sustainability, we are pleased to offer FREE listings for all pro-green initiatives. You can support green listings, items, services, products, ads, and more by uploading pictures and videos with detailed descriptions on iBidd Green.

In order to maintain the integrity of our pro-green marketplace, iBidd reserves the right to remove any listings that violate our listing policies. We prioritize the green and charity sectors, and these listings will be carefully reviewed. We kindly request all users to adhere to our listing policies to ensure the protection and well-being of the entire iBidd community.

User Goods and Services:

iBidd provides a platform for users to list, or sell goods, services or Ads, but it's important to note that we do not take responsibility for the Listings by users on iBidd. We cannot guarantee the quality or accuracy of these Listings. However, if we receive information regarding a user violating our Terms and Conditions, we reserve the right to suspend or prohibit that user from Listing on iBidd.

We encourage all users to exercise caution and perform due diligence when engaging in transactions on iBidd. It's advisable to thoroughly evaluate the listings being offered and communicate with the seller to clarify any doubts or concerns before making an agreement. By doing so, you can make informed decisions and have a positive experience on iBidd.

Sale of Goods and Services:

These Terms of Service govern the sale of goods and services on iBidd and apply to all Listings displayed on our iBidd Services when accessed. This includes products listed as being out of stock by users. iBidd requires accurate information, descriptions, and images for the Listings; however, we are not legally bound by such information as we cannot guarantee the accuracy of all goods and services listed by users. Your use of iBidd Services is at your own risk.

We reserve the right to modify, reject, or cancel your order when necessary. In the event that iBidd cancels your order after processing your payment, we will assist you in the refund process for the amount paid only. You acknowledge that it is your responsibility to monitor your payment instrument to verify the receipt of any refund.

Third Party Goods and Services:

iBidd may offer goods and services from third parties. We cannot guarantee the quality or accuracy of goods and services made available by third parties on iBidd.

How iBidd Tokens are used:

• iBidd tokens are used to list in all categories.
• linkbacks (to other sites you may be selling on).
• Highlight listings move them to the Highlighted section.
• Make Mine first or Bump (move your listing first at anytime)
• promoting listings by adding Videos.

How to get more iBidd Tokens:

• Invite your friends to iBidd by sharing your referral code and get 85 free tokens.
• Tokens can be purchase via iBidd, Apple App store or Google play store.
• Tokens have no cash value, are non-refundable,non-transferable and non-expiring.

Buying and Selling:

When buyers and sellers reach an agreement on a listing, they may have various options to complete the transaction. If the buyer and seller agree to use payment methods outside of iBidd Services, such as cash on delivery (COD), check, or other mutually agreed upon methods facilitated by the seller, and the payments are made directly between the buyer and seller as per their agreed terms, iBidd is not involved in these transactions. iBidd does not facilitate or assist with refunds or returns related to such transactions.

Alternatively, iBidd provides the option for buyers to make purchases using credit cards or other electronic payment methods through iBidd Services if the listing party has chosen this process. Certain transactions may only be conducted using iBidd Payment options. All purchases made using other payment options are directly between you and the other party, governed by the Terms and any additional terms agreed upon by both parties. iBidd is not a party to these transactions, and the responsibility for facilitating such transactions, as well as providing refunds or returns, rests with the listing party unless explicitly stated otherwise.

iBidd Refund Policy:

iBidd Tokens are non-refundable. iBidd does not assume responsibility for refunds in transactions between buyers and sellers, except in cases where the purchase was processed and shipped through iBidd, and the buyer opted for iBidd Buyer's Protection (subject to applicable terms and conditions).

iBidd Buyers Protection:

iBidd's Buyer's Protection is specifically designed to provide coverage for purchases made through iBidd payment gateway and shipped via iBidd. Any transactions or processes conducted outside of iBidd are not covered by the iBidd buyer protection, and iBidd assumes no responsibility for the buyer or seller in such cases.

Please take note that electronics listings lacking a serial number are not eligible for coverage under iBidd Buyer's Protection.

With iBidd Buyer's Protection, buyers are assured of receiving the item as described. If the item does not match the description, iBidd will initiate a refund to the buyer after the item is returned and verified by the seller. Should the return process exceed 14 business days, the transaction will be closed, and the seller will receive the funds.

iBidd Buyer's Protection remains in effect until proof of delivery is provided, with an additional 3-day extension if the buyer scans the seller's barcode.

Sellers hold the responsibility for ensuring the accuracy and condition of all listed items. iBidd retains the right to address claims related to improper listings and defective items.

iBidd Payment Solution:

By listing, making, or receive payments for Listings using the iBidd Payment Solution (if chosen at the time of listing), you acknowledge and agree to comply with all relevant service fees. iBidd reserves the right to modify these service fees by posting any changes and the effective date within these terms.

To make or accept payments using the iBidd Payment Solution, it is mandatory to maintain an account with iBidd's designated payment processor, currently Stripe, Inc. ("Stripe"), as the Payment Gateway. If you wish to utilize this feature, you must enroll for the service through Stripe. By enrolling, you enter into a separate agreement with Stripe, governed by the terms of the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). Please note that iBidd is not a party to the Stripe Services Agreement and assumes no responsibility for the payment services provided by Stripe. In the event that Stripe discontinues its services related to the iBidd Payment Solution, you authorize Stripe to share your payment method information with an alternative Payment Provider.

iBidd, at its sole discretion, may impose limits on your ability to make and/or receive payments through the iBidd Payment Gateway. Additionally, the Payment Provider may impose its own limitations on your use of the iBidd Payment Solution.

Please be aware that your application to use the iBidd Payment Solution must be accepted by the Payment Provider before you can receive sales proceeds via the iBidd Payment Solution. Failure to set up a Payment Provider account within 30 days after completing a sale processed through the iBidd Payment Solution, or if your application is rejected by the Payment Provider, may result in the disabling or restriction of your ability to receive sales proceeds via the iBidd Payment Solution.

It is important to note that your right and/or ability to receive sales proceeds via the iBidd Payment Solution may be revoked, disabled, or limited if any purchase or sale violates these Terms, including the guidelines and restrictions outlined in the Prohibited Items, Services, or Products section.

Once a purchase is made, the buyer's payment, minus any applicable iBidd fees, will be held in escrow and released to the seller either after mutual agreement between both parties or after 7 business days from the delivery of the purchased item to the buyer, provided there are no Buyer Protection claims made by the buyer. In case of Buyer Protection claims, the release of payment to the seller may be delayed or canceled. Sellers authorize the Payment Provider to deduct any fees incurred from their account for using the Services and pay them to iBidd.

Please review and adhere to the Buyer Protection Policies and Guidelines referenced in this section to ensure a smooth payment process and transaction experience.

Taxes:

You are solely responsible for complying with any sales, use, duty, or other governmental taxes or fees related to your purchases or sales through the iBidd Services. In cases where a payment is processed and shipped via iBidd and it is determined that iBidd has a legal obligation to collect sales tax in the recipient's state, iBidd will collect the applicable sales tax. iBidd maintains a list of states where sales tax collection is required. However, if you reside in a state where iBidd does not collect sales tax on your behalf, you are obligated to collect and remit all applicable sales taxes for the sales conducted through the iBidd Services.

In certain circumstances, iBidd may be obligated to report your earnings from iBidd processed transactions to tax authorities if your activity on our platform exceeds certain thresholds. If it becomes necessary for iBidd to report your earnings, we will request personal information from you, such as your social security number, in order to complete tax form 1099-K. Failure to provide this information upon request will result in iBidd instructing our Payment Provider to block payments to your bank account until the required information is provided.

Shipping:

iBidd allows sellers to list certain items, services, or products that can be shipped nationwide within the United States.

Sellers who choose to list items, services, or products available for shipping on iBidd are required to adhere to all iBidd's Shipping Policy. When a seller accepts a buyer's offer for shipping, the seller must provide a shipping label to the buyer (unless shipping was already included) and ship the item within 5 business days after receiving proof of payment. The buyer or seller may agree to cancel an accepted offer before the package is scanned for shipping. If an order is canceled after being shipped, the buyer may be responsible for the shipping cost. The seller may hold the funds until the order is returned. Canceled orders and returns must be completed within 5 business days.

Buyers who request items, services, or products to be shipped to them are responsible for paying the shipping costs if not included. When a seller accepts a buyer's offer to purchase an item and have it shipped, the seller may charge or place a hold on the buyer's payment method until the item is delivered. Buyers can cancel their offer to purchase an item for shipping until the seller accepts the offer or receives the funds.

iBidd is not involved in the transactions between buyers and sellers or the shipping process of items, services, or products from sellers to buyers. Except as expressly stated in the Shipping Policy, iBidd is not liable for any losses, damages, or delays related to shipping.

By using any shipping service, you agree to comply with all applicable laws, United States Postal Service regulations, and shipping regulations, including U.S. Publication 52. It is prohibited to ship items such as weapons, ammunition, explosives, living or infectious biological matter, human remains, pornography, alcohol, prescription drugs, illegal drugs, currency, dangerous goods, hazardous goods, or any other items prohibited by law. Shipping prohibited, illegal, or improperly packaged or labeled materials may result in legal penalties, including civil penalties, fines, and/or imprisonment, as specified in 18 U.S.C. § 1716 and 39 U.S.C. § 3018.

User Consent:

Through iBidd Services, you have the ability to create, share, store, and list various types of content, such as messages, text, photos, videos, software, and more (referred to as "user content"). You retain all rights to your user content, except for the license granted below.

By using iBidd Services, you grant iBidd a perpetual, irrevocable, non-exclusive, royalty-free, worldwide, fully paid, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and display your user content. This license also extends to any associated name, username, or likeness provided with your user content. It applies to all media types, formats, and channels, without any compensation to you. Please note that the use of your name, likeness, or identity in connection with iBidd Services does not imply any endorsement unless explicitly stated otherwise. When you share or list user content on our Services, it may be visible to others, including your username or profile photo. Additionally, iBidd may engage third parties to provide services like user verification and the iBidd Payment Solution. In such cases, sharing user content with these third parties may be necessary.

You are prohibited from creating, sharing, storing, or listing any user content that violates our Terms or for which you don't have the necessary rights to grant the described license to iBidd. You affirm that your user content and its use by iBidd, as permitted by these Terms, will not infringe upon the rights or cause harm to any individual or entity. Furthermore, you must not allow or authorize any third party to upload, transmit, distribute, solicit, disclose, or publish any user content through iBidd Services that:

• Is unlawful, defamatory, libelous, obscene, pornographic, harassing, threatening, invasive of privacy or publicity rights, abusive, inflammatory, fraudulent, disrespectful, inappropriate, or may potentially harm or expose iBidd, our users, or others to liability.
• May infringe upon any patent, trademark, trade secret, copyright, intellectual, privacy, or proprietary right of any party.
• Encourages or provides instructions for criminal activities, violates the rights of others, creates liability, or contravenes any local, state, national, or international law.
• Contains statements or claims that are dishonest or do not reflect your genuine views and experiences.
• Includes unsolicited marketing promotions, political campaigns, advertisements, or solicitations.
• Contains private information of third parties, such as addresses, phone numbers, or payment card information.
• Contains viruses, corrupted data, or other files that are harmful, disruptive, or destructive.

iBidd assumes no responsibility for actively monitoring user content and does not endorse any user content. While iBidd is not obligated to screen, edit, or monitor user content, it reserves the right to delete or remove user content at any time and for any reason, with or without notice.

Prohibited Conduct:

You will not violate any applicable law, contract, intellectual property right, or other third-party right or commit a tort while using our Services, and you are solely responsible for your conduct while using our Services. Without limiting the forgoing,

You will not:

Use our iBidd Services other than for their intended purpose and in any manner that could interfere with, disrupt, negatively affect, or inhibit other users from fully enjoying our iBidd Services or that could damage, disable, overburden, or impair the functioning of our iBidd Services, or any networks connected to our iBidd Services in any manner.

You will not:

• ENGAGE IN ANY HARASSING, THREATENING, INTIMIDATING, PREDATORY, OR STALKING CONDUCT; SELL, RESELL, OR COMMERCIALLY USE THE IBIDD SERVICES EXCEPT AS EXPRESSLY PERMITTED BY IBIDD.

• SELL OR OFFER FOR ANYTHING THAT VIOLATES OUR PROHIBITED ITEMS, SERVICES, OR PRODUCTS GUIDELINES. SEND, DISTRIBUTE, OR LIST SPAM, UNSOLICITED OR BULK COMMERCIAL ELECTRONIC COMMUNICATIONS, CHAIN LETTERS, OR PYRAMID SCHEMES.

• PROVIDE FALSE, INACCURATE, OR MISLEADING INFORMATION TO IBIDD OR OUR SERVICE PROVIDERS, INCLUDING WHEN REGISTERING FOR AN IBIDD ACCOUNT, OR USING THE IBIDD PAYMENT SOLUTION.

• IMPERSONATE OR LIST ON BEHALF OF ANY PERSON OR ENTITY OR OTHERWISE MISREPRESENTING YOUR AFFILIATION WITH A PERSON OR ENTITY. COPY, REPRODUCE, DISTRIBUTE, PUBLICLY PERFORM, OR PUBLICLY DISPLAY ALL OR PORTIONS OF OUR SERVICES, INCLUDING OUR UNDERLYING CONTENT AND SOURCE CODE, EXCEPT AS EXPRESSLY PERMITTED BY IBIDD OR OUR LICENSORS.

• MODIFY OUR SERVICES, REMOVE ANY PROPRIETARY RIGHTS NOTICES OR MARKINGS, OBSCURE OR DISABLE ANY ADVERTISEMENTS THAT APPEAR ON OR THROUGH THE SERVICES, OR OTHERWISE MAKE ANY DERIVATIVE WORKS BASED UPON OUR SERVICES.

• REVERSE ENGINEER ANY ASPECT OF OUR IBIDD SERVICES OR DO ANYTHING THAT MIGHT DISCOVER SOURCE CODE OR BYPASS OR CIRCUMVENT MEASURES EMPLOYED TO PREVENT OR LIMIT ACCESS TO ANY PART OF OUR SERVICES.

• DEVELOP OR USE ANY THIRD-PARTY APPLICATIONS THAT INTERACT WITH THE IBIDD SERVICES WITHOUT IBIDD'S PRIOR WRITTEN CONSENT. USE ANY TYPE OF AUTOMATED MEANS TO UTILIZE THE IBIDD SERVICES OR TO COLLECT OR EXTRACT DATA FROM IBIDD, SUCH AS A HARVESTING BOT, ROBOT, SPIDER, SCRIPT, CRAWLER, OR SCRAPER, NOT PROVIDED BY IBIDD; OR USE THE IBIDD SERVICES TO INFRINGE OR VIOLATE THE INTELLECTUAL PROPERTY RIGHTS OR ANY OTHER RIGHTS OF ANYONE ELSE (INCLUDING IBIDD).

You will establish and use your iBidd account only in accordance with any guidelines issued by iBidd. Without limiting the forgoing,

You will not:

• CREATE MORE THAN ONE ACCOUNT.

• TRANSFER YOUR ACCOUNT TO ANOTHER USER.

• ATTEMPT TO OBTAIN THE PASSWORD, ACCOUNT INFORMATION, OR OTHER SECURITY INFORMATION OF ANOTHER USER; OR ATTEMPT TO USE ANOTHER IBIDD USER'S ACCOUNT WITHOUT AUTHORIZATION FROM THAT USER AND IBIDD.

If you engage in any of the conduct described above or similar conduct, iBidd may suspend or terminate your right to access the Services. Enforcement of this Section is solely at iBidd's discretion, and failure to enforce this section in some instances does not constitute a waiver of our right to enforce it in other instances. In addition, this Section does not create any private right of action on the part of any third party or any reasonable expectation that the Services will not contain any content that is prohibited by such rules.

Limited License:

The Services, including the text, graphics, images, photographs, videos, illustrations, and other content contained therein, are owned by iBidd or our licensors and are protected under United States laws. Except as explicitly stated in these Terms, all rights in and to the Services are reserved by iBidd or our licensors. Subject to your compliance with these Terms, you are hereby granted a limited, nonexclusive, nontransferable, non-sublicensable, revocable license ("License") to access and use our Services.

Termination:

Without limiting the generality of the foregoing, iBidd may revoke or terminate the License if you: breach any obligation in these Terms or in any other agreement between you and iBidd, if you violate any policy or guideline applicable to the iBidd Services, or any other iBidd product or service, or use the iBidd Services other than as specifically authorized in these Terms, without our prior written permission. You will stop accessing or using the iBidd Services immediately if iBidd suspends or terminates your License to access or use the iBidd Services. iBidd reserves the right, but does not undertake any duty, to take appropriate legal action including the pursuit of civil, criminal, or injunctive action against you for continuing to use the iBidd Services during suspension or after termination. iBidd may recover its reasonable attorneys' fees and court costs from you for such action. Dispute Resolution:

Please read the following section carefully because iBidd requires you to arbitrate certain disputes and claims with iBidd and limits the way you can seek relief from iBidd, unless you opt out of arbitration by following the instructions set forth below. No class or representative actions or arbitration's are allowed under this arbitration agreement. In addition, arbitration precludes you from suing in court or having a jury trial.

No Representative Actions. You and iBidd agree that any dispute arising out of or related to these Terms, or our iBidd Services is personal to you and iBidd, and that any dispute will be resolved solely through individual action, and will not be brought as a class arbitration, class action or any other type of representative proceeding. Arbitration of Disputes Except for small claims disputes in which you or iBidd seeks to bring an individual action in small claims court located in the county of your billing address or disputes in which you or iBidd seeks injunctive or other equitable relief for the alleged unlawful use of intellectual property, you and iBidd waive your rights to a jury trial and to have any dispute arising out of or related to these Terms or our iBidd Services resolved in court. You and iBidd agree that these Terms affect interstate commerce, and that the enforceability of this Section will be substantively and procedurally governed by the Federal Arbitration Act, 9 U.S.C. § 1, et seq. (the "FAA"), to the maximum extent permitted by applicable law. As limited by the FAA, these Terms and the JAMS Rules, the arbitrator will have exclusive authority to make all procedural and substantive decisions regarding any dispute and to grant any remedy that would otherwise be available in court, including the power to determine whether a dispute may be arbitrated. The arbitrator may conduct only an individual arbitration and may not consolidate more than one individual's claims, preside over any type of class or representative proceeding, or preside over any proceeding involving more than one individual.

The duty of confidentiality does not apply to the extent that disclosure is necessary to prepare for or conduct the arbitration hearing on the merits, in connection with a court application for a preliminary remedy or in connection with a judicial challenge to an arbitration award or its enforcement, or to the extent that disclosure is otherwise required by law or judicial decision.

You and iBidd agree that for any arbitration you initiate, you will pay the filing fee and iBidd will pay the remaining JAMS fees and costs. For any arbitration initiated by IBidd, iBidd will pay all JAMS fees and costs. You and iBidd agree that either the state or federal courts of the State of Delaware in the United States sitting in Kent County, Delaware or the state or federal courts of the Commonwealth of Massachusetts in the United States sitting in Suffolk County, Massachusetts have exclusive jurisdiction over any appeals and the enforcement of an arbitration award.

Any claim arising out of or related to these Terms, or our iBidd Services must be filed within one year after such claim arose; otherwise, the claim is permanently time barred, which means that you and iBidd will not have the right to assert the claim.

Governing Law Venue:

iBidd reserves the right to modify our iBidd Services or to suspend or stop providing all or portions of our iBidd Services at any time. You also have the right to stop using our iBidd Services at any time. iBidd is not responsible for any loss or harm related to your inability to access or use our Services.

Miscellaneous:

If any provision or part of a provision of these Terms is unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.

The failure of iBidd to exercise or enforce any right or provision of these Terms will not operate as a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect.
